About

Meenakshi Acharya is the Founder and Managing Partner of RMA Legal. She has led the Firm from its inception in 2015, now with offices in London, Mumbai, Pune, Delhi, Bangalore, Hyderabad and Chennai. She has over 24 years of experience advising domestic and international clients on corporate, transactional and capital markets matters. Her practice covers capital markets, mergers and acquisitions, private equity and investments, foreign investment and FEMA, corporate and commercial transactions, e-commerce, real estate and infrastructure.

Meenakshi has advised promoters, companies, investors and other stakeholders on complex transactions and regulatory matters, with particular experience in initial public offerings, including Main Board and SME IPOs, QIPs and rights issues. Her capital markets practice includes transaction due diligence, preparation and review of offer documents, regulatory and corporate law compliances, and coordination with transaction stakeholders and regulatory authorities.

Her broader transactional experience includes advising on mergers and acquisitions, private equity and strategic investments, foreign investment structuring, joint ventures, corporate restructurings and commercial arrangements. She has also advised clients on FDI-compliant B2B and B2C e-commerce structures, EPC and project documentation, and real estate transactions, including title and property due diligence and sale, lease and leave and licence arrangements.

Prior to establishing RMA Legal, Meenakshi was associated with leading Indian law firms, including AZB & Partners, Thakker & Thakker, ARA Law and Singhania & Co. She brings to RMA Legal a combination of transactional experience, regulatory knowledge and a practical, solution-oriented approach to legal and commercial issues.

Professional Experience

  • Acted as legal counsel in multiple capital markets transactions, including Main Board and SME IPOs, QIPs and Rights Issues across sectors including infrastructure, healthcare, manufacturing and trading.

  • Advised and acted as legal counsel to the issuer in relation to the proposed Main Board IPO of Denta Water and Infra Solutions Limited, a growing water and infrastructure solutions company engaged in the design, installation and commissioning of water management infrastructure projects, with expertise in groundwater recharge projects, with an issue size of approximately INR 220.50 crore, including advising on transaction structuring, conducting legal due diligence, reviewing and preparing relevant offer document disclosures and transaction documentation, and advising on applicable SEBI, ICDR and corporate law requirements in connection with the proposed offering.

  • Advised and acted as legal counsel to the issue in relation to SME IPO transactions including Pushpa Jewellers Limited (approximately INR 98.65 crore), Asston Pharmaceuticals Limited (approximately INR 27.56 crore), Salasar Exteriors and Contour Limited (approximately INR 8.50 crore), AKG Exim Limited (approximately INR 5.52 crore), KCK Industries Limited (approximately INR 4.50 crore), Keerti Knowledge & Skills Limited (approximately INR 4.06 crore), Satyam Silk Mills Limited (approximately INR 3.68 crore) Advance Technoforge Limited (Approximately 24.03 crore) and Avyukta Dairy Limited (approximately INR 3.56 crore).

  • Advised on QIP transactions of Gujarat Toolroom Limited, including two rounds of approximately INR 48.89 crore each.

  • Advised on Rights Issues of Ducon Infratechnologies Limited, including two rounds of approximately INR 45.49 crore each, and on Rights Issues of Modern Engineering and Project Limited (approximately INR 49.44 crore) and Riddhi Synthetics Limited (approximately INR 1.96 crore).

  • Advised All Nippon Airways Co. Ltd. (Japan) on employment structuring, HR policies and legal opinions relating to provident fund applicability, maternity benefits, employment visas and restructuring arising from termination of a General Sales Agent arrangement.

  • Advised Votteler Design Partners GmbH (Germany) on review of an MOU and Joint Venture Agreement, legal due diligence, due diligence reporting and legal opinions relating to termination of the joint venture arrangement.

  • Advised Eppler Engineering (Germany) on joint venture structuring, legal due diligence, transaction documentation and termination advisory, including drafting of legal notices and strategic advice.

  • Advised Falcon International, a Dubai based company on its proposed investment in Nutrizo Advancis Healthcare Private Limited, including legal due diligence, drafting of share purchase and shareholders' agreements, and FEMA, RBI and ROC compliances.

  • Advised Alpha Cinemas Private Limited on incorporation and corporate structuring, including drafting of term sheets, share subscription agreements and shareholders' agreements and providing ongoing corporate advisory.

  • Advised clients on structuring FDI-compliant B2B and B2C e-commerce models, including preparation of transaction documentation and regulatory compliance strategy.

  • Drafted and negotiated EPC documentation, including supply, erection and works contracts, for infrastructure projects.

  • Advised on real estate transactions, including title and property due diligence, sale agreements, lease deeds, leave and licence agreements, and stamp duty and registration matters.
